To support the creation and operation of a new business in Bergen County, you must file certain documents with the County Clerk’s office. The most common of these documents are described below.

BUSINESS NAME REGISTRATION - TRADE NAMES
Your new “Sole Proprietorship” or “General Partnership” must, by law, be registered as a Trade Name in the County where the business is located. It is the responsibility of the registrant to determine that the name to be registered is not presently being used by any other Bergen County business or New Jersey Corporation. Adding a New Owner or Partner

To add a new owner or partner to a previously registered business you will follow the same guidelines and use the same form as when registering a new business. You will file four (4) copies of a Certificate of Trade Name showing the name(s) and addresses of both the original owner(s) and the new owner/partner. The word “Amended” will appear at the top of each certificate as well as the original Bergen County file number. All copies must be notarized and bear the original signatures of all owners.
Whether filing by mail or in person you will receive two (2) copies back, one stamped “filed” for your records and the other stamped “certified copy” which your bank will require in order to add the new owner/partner to your business account.
Business Address Change

Should your business relocate at any time after initial registration, you must file a change of address form with the County Clerk’s office. This form can be obtained at the County Clerk’s office or by clicking on the link above. If your business relocates to another county, you must also file as a new business in that county. There is no charge for an address change.
Closing a Business

The form used to close a previously registered business is known as a “Discontinuance of Trade Name.” It can be obtained from the County Clerk’s office by clicking on the link above. You may file the Discontinuance in person at the County Clerk’s office or by mail. You will file four (4) copies of the Discontinuance. They must be notarized and bear the original signatures of all current owners or partners. The Discontinuance will bear the same Bergen County file number as the original Trade Name.
Whether filing by mail or in person, you will receive two (2) copies back, one stamped “filed” for your records and the other stamped “certified copy” which your bank will require in order to close your business account.

You may obtain a sample of a Church Corporation by clicking on the link above. You must file three (3) original Church Corporations (a 3-page document), which must be notarized and bear the original signatures and addresses of all officers of the corporation. You may file a Church Corporation by mail or in person at the County Clerk’s office.
Whether filing by mail or in person, you will receive two filings back. One stamped “filed” for your records and the other stamped “certified copy” to be sent for filing with the N.J. Department of Revenue, Corporate Filings Unit, PO Box 308, Trenton, NJ 08646. It is the responsibility of the registrant to be sure the new Church Corporation is properly filed with the State.

The form used to register a Trade Name is known as a Certificate of Trade Name. It can be obtained from the County Clerk’s office or by clicking on the link above. You may file a Trade Name by mail or in person at the County Clerk’s office. If you register by mail, you must submit four (4) copies of the Certificate of Trade Name. All four must bear the original signature(s) of the owner(s) and be notarized.
Whether registering by mail or in person, you will receive two copies back, one stamped "filed" for your own records and the other stamped “certified copy,” which your bank will require to open a business account in your new business name.
Removing an Owner or Partner

The form used to remove an owner or partner from a previously registered business is known as a “Dissolution.” It can be obtained from the County Clerk’s office or by clicking on the link above. You may file a Dissolution by mail or in person at the County Clerk’s office. You will file four (4) copies of the Dissolution. They must be notarized and bear the original signatures and addresses of the original owners/partners and indicate, by name, the owner(s) or partner(s) that will remain with the business. The Dissolution will bear the same Bergen County file number as the original Trade Name.
Whether filing by mail or in person, you will receive two (2) copies back, one stamped “filed” for your records and the other stamped “certified copy” which your bank will require in order to remove the owner/partner from your business account.

TAX IDENTIFICATION NUMBER
When creating a new business, you must file an application to register with the State Tax Bureau, and receive a Tax ID number, at least 15 days before opening the business. This applies to every individual, corporation, or other legal business entity, or unincorporated entity, engaged in the practice of any trade, business, profession, or occupation, whether full-time or part-time, within the State of NJ. You must register even if your business will not be collecting sales tax. If you need your Tax ID Number immediately, you must register in person.
